Terms and Conditions

Note: Only the German version of these Terms and Conditions is valid. A machine-generated translation is provided on the English page without any guarantee of accuracy.

§ 1 | Scope

(1) All orders placed through the online store of ServiceLobby RT GmbH, Arbach ob der Straße 26/2, D-72793 Pfullingen, email: [email protected], Managing Director: Dr. Simon Tonat, Court of Registration: Stuttgart Local Court, Registration Number: HRB 782261, Value-Added Tax Identification Number pursuant to Section 27a of the Value-Added Tax Act: DE348939983 (hereinafter „Provider“) are placed exclusively on the basis of the following General Terms and Conditions (hereinafter „GTC“) in the version valid at the time of the order.

(2) Unless expressly agreed in writing, any conflicting terms and conditions shall not apply. The most recent version of the Terms and Conditions will be sent to the customer upon request and may also be accessed at any time at https://service-lobby.com/agb/ viewed, downloaded, and printed. By ordering a course, the customer expressly agrees to these Terms and Conditions and waives the right to assert any of their own conflicting terms and conditions or terms of purchase and payment. Other terms and conditions shall not apply even if the Provider does not expressly object to them in individual cases. If the customer does not agree to these terms, he must immediately notify the Provider in writing.

(3) Customers, as defined in these Terms and Conditions, are exclusively business owners as defined in Sections 14 and 310(1) of the German Civil Code (BGB), that is, any natural person, legal entity, or partnership with legal capacity that, at the time of entering into the contract, is acting in the course of its commercial or self-employed professional activities. Sales to consumers are not permitted.

(4) Individual agreements made with the customer on a case-by-case basis (including ancillary agreements, additions, and amendments) shall in all cases take precedence over these General Terms and Conditions. Subject to proof to the contrary, a written contract or written confirmation by the Provider shall be decisive regarding the content of such agreements.

§ 2 | Subject Matter of the Contract

(1) The Provider offers a wide range of training and continuing education programs (hereinafter „courses“) designed to effectively and sustainably improve companies’ services. Upon completion, the customer receives a certificate confirming successful participation in a course.

(2) The Provider shall perform the specific service after the order has been placed, in accordance with the terms and conditions set forth in the applicable service description. This applies in particular to the nature and scope of the services, as well as the price and access to the respective course materials.

(3) Unrestricted access to the entire course offerings is expressly not covered by these Terms and Conditions. Such access is granted to employees whose employers have entered into an Academy contract with the Provider. These Terms and Conditions apply exclusively to the purchase of individual courses.

§ 3 | Conclusion of the Contract

(1) The customer may place an order for a course in the online store (https://academy.service-lobby.com/kurskatalog/) as follows:

(a) First, the customer can browse the online course catalog to get an overview of all available courses.

(b) Once the customer has selected a course, they can view it without obligation by clicking on the course name, brief description, or course image, thereby obtaining further information about the course (e.g., course content, learning objectives, price, scope of services, access requirements, etc.).

(c) If the customer wishes to purchase the selected course, clicking the „Buy Course“ button will redirect them to a webpage where they can enter their order information. The ordering process now consists of two steps.
The customer enters their order information. Fields marked with an asterisk „*“ are required to place an order with the provider. All other information is optional. The order information also includes setting a password and a username for a personal customer account, where the customer can access their courses and view their order. The customer must provide this information completely and truthfully.
Clicking the „View Order Summary“ button generates a summary of the entered data, which once again lists all the essential details of the order—in particular, the individual prices of the selected courses, the total order amount, and the customer information provided. The customer can make changes to their order at any time before submitting it by scrolling back to the top of the page or canceling the order process and starting over.
If the customer wishes to place the order, they can complete the order by clicking the „Place Order“ button after reviewing the order details and checking the checkboxes at the bottom of the order form.
By checking the corresponding checkboxes marked with an *, the customer confirms, prior to submitting the order, that he or she is placing the order as a business or on behalf of a business, and that he or she has read the provider’s Terms and Conditions and Privacy Policy and accepts them in the version current at the time the contract is concluded.
Subscribing to a newsletter and consenting to receive information about new course offerings, however, are optional when placing an order.

(2) By clicking the „Place Order with Payment“ button, the customer submits a binding offer to enter into a contract. Payment is only possible via an invoice that the provider will send to the customer by email. Other payment methods are expressly excluded.

(3) A contract is concluded when the Supplier accepts the order confirmation. Unless otherwise specified in the order, the Supplier is entitled to accept the Customer’s offer to enter into a contract within a period of 2 weeks after receiving the order. The issuance of an invoice is equivalent to an express declaration of acceptance. The Provider is entitled to refuse acceptance.

§ 4 | Storage and Language of the Contract Text

The provider saves the order and the order details entered by the customer. It sends the customer an email containing all order details and the Terms and Conditions. The customer also has the option to print both the order and the Terms and Conditions before submitting the order to the provider. Finally, the customer has access to their orders at any time via their customer account. The contract text is provided in German only.

§ 5 | Customer Account and Access to Courses

(1) Placing an order in the online store requires the creation of a free customer account. Access to the ordered courses is only possible through this account. The courses cannot be delivered in any other way.

(2) As part of the order process, the customer creates a password and a username for a free customer account. Upon submission of the order, the customer account is created, and the customer is automatically logged in to it when placing the order. In addition, the customer receives a separate email notifying them of the creation of the customer account, which includes a link to the provider’s website. This email is not an order confirmation.

(3) By clicking the link, the customer is redirected to the provider's website. By entering their email address or username and the specified password there, they can log in to their account using the provided credentials.

(4) Once the invoice has been paid, the paid courses will be activated through the account, allowing the customer to access them. The customer can also view and edit their orders and personal information, order new courses, and access their certificates upon successful completion of a course.

(5) The customer is obligated to keep the password confidential and under no circumstances disclose it to third parties. In particular, the customer must ensure that the login credentials do not fall into the hands of third parties who could then use the customer’s account. If the password is lost, or if there is any suspicion that a third party has gained knowledge of it or is using the customer account, the customer is obligated to notify the provider immediately. To protect against unauthorized access by third parties, the password should be changed at regular intervals.

(6) If the customer’s personal information changes, the customer is responsible for updating it. All changes can be made on the provider’s website after logging in under „My Account.“.

(7) The customer may delete their customer account at any time. The provider will then delete all data stored about the customer within a reasonable period of time. By deleting their customer account, the customer agrees that this will also result in the loss of access to courses that have already been booked. The Provider will no longer be able to restore access or the data thereafter.

§ 6 | Use of the Courses and Copyrights

(1) All content covered by this Agreement is protected by copyright. Access is provided exclusively through the web interface. No physical copies will be provided.

(2) The Provider grants the Customer a simple, non-exclusive, and geographically unrestricted right to use the ordered digital content in accordance with the service description and the Terms of Use. The right of use is Limited to a period of 3 months from the date of activation by the provider and regarding the use limited to one individual from the customer's company in each case. The foregoing right of use does not include the transfer of course materials to third parties, reproduction for distribution to third parties, or lending or any other use outside the scope of these Terms of Use without the prior consent of the Provider.

(3) Upon ordering the courses, the customer is automatically granted the above-mentioned rights of use for the first three learning units. The granting of the above-mentioned rights of use for all subsequent units, however, is subject to full payment of the agreed-upon fee. The Provider grants full access to the courses upon payment of the fee listed on the invoice.

(4) The customer agrees to take appropriate measures to ensure compliance with the Terms of Use. The Provider reserves the right to revoke all usage rights from the customer in the event of a violation of the aforementioned usage rights and to immediately block access to the courses ordered.

§ 7 | Prices, Due Dates, Default, Right of Retention

(1) Costs and prices are based on the provider’s current course offerings. All prices listed are net prices in euros and do not include applicable sales tax.

(2) Payment is made upon receipt of an invoice. The invoice will be sent to the customer by email no later than upon the Provider’s acceptance of the contract. The customer agrees to receive invoices electronically. Payment is due immediately upon transmission of the invoice. The customer must pay the invoice amounts in full, without any deductions, within 14 calendar days of the invoice date. The Provider reserves the right to withhold the service to be provided until the invoice is paid in full.

(3) If the customer is in default, the customer is obligated to pay statutory default interest at a rate of 9 percentage points above the applicable base rate. In addition, the company is entitled to a flat-rate reminder fee of 40 euros. The company reserves the right to claim further damages.

(4) The customer is entitled to set off claims only if the customer’s counterclaims have been legally established and are undisputed or have been acknowledged by the provider, or if they are in a synallagmatic relationship with the provider’s claim. The customer is authorized to exercise a right of retention only to the extent that the customer’s counterclaim is based on the same contractual relationship.

§ 8 | Rights and Obligations of the Parties

(1) The Provider grants the Customer access to his or her customer account and to the courses he or she has ordered. Upon successful completion of a course, the Provider will issue a certificate with the appropriate designation.

(2) The Provider is not responsible for technical malfunctions of the Internet or the Customer’s technical infrastructure.

(3) The customer’s cooperation is an essential factor in the Provider’s ability to perform its contractual obligations. The customer shall ensure that the technical requirements necessary to access the courses are met. In addition, the customer shall provide the Provider with all data necessary for the performance of the service truthfully and free of charge.

§ 9 | Liability, Damages, Reimbursement of Expenses

(1) If the claims are based on an intentional breach of duty by the Provider, its representatives, or its agents, the Provider shall be liable for damages in accordance with statutory provisions. If the claims are based on a grossly negligent breach of duty by the Provider or its representatives or agents, liability is limited to the foreseeable, typically occurring damage.

(2) If the Provider or its representatives or agents have culpably breached an obligation whose fulfillment is essential to the proper performance of the contract, whose breach jeopardizes the achievement of the contract’s purpose, and on whose compliance the Customer regularly relies —and no case of liability under the statutory provisions within the meaning of Section 9.1 applies—liability is limited to the foreseeable, typically occurring damage.

(3) Unless otherwise provided in these Terms and Conditions, the Provider's liability for damages is excluded.

(4) The disclaimers and limitations of liability set forth in § 7 (1) and (2) also apply to other claims, in particular claims arising from tort or claims for reimbursement of futile expenses in lieu of performance.

(5) The exclusions and limitations of liability set forth in § 7 (1) and (2) do not apply to any claims arising from a culpable injury to life, body, or health. Nor do they apply if the Provider has assumed a guarantee regarding the quality of the service, the success of the service, or a procurement risk, and the guaranteed event has occurred or the procurement risk has materialized.

(6) To the extent that the Provider’s liability is excluded or limited, this also applies to the personal liability of its employees, workers, staff members, representatives, and agents.

(7) The foregoing provisions do not entail a reversal of the burden of proof.

§ 10 | Privacy Policy

(1) The collection of customer data is intended to enable us to provide a customer-friendly, efficient, and secure online service.

(2) All information regarding data protection and data security can be found in the provider’s privacy policy.

(3) By entering into the contract, the customer agrees that he or she has read and accepted the provider’s privacy policy.

§ 11 | Final Provisions

(1) The laws of the Federal Republic of Germany shall apply, to the exclusion of the United Nations Convention on Contracts for the International Sale of Goods.

(2) The place of performance for all services provided by the Provider is Pfullingen.

(3) If the customer does not have a general place of jurisdiction in the Federal Republic of Germany, the exclusive place of jurisdiction for any disputes relating to the platform shall be Reutlingen. Reutlingen is the exclusive place of jurisdiction for actions brought against the Provider. Mandatory statutory provisions regarding exclusive places of jurisdiction remain unaffected by this provision.

(4) The language of the contract is German.
